By visiting or using any of the data and/or Services offered by MLP Data LLC, you are agreeing to and obligated by the following Terms and Conditions of use. Terms and Conditions may change at any time and such changes will be binding on you, so you should review these terms each time you access MLPData.com.

The term "Service" or "Services" shall mean computer programs, Internet web pages, data, analyses, screens, graphics and other information of any kind that are housed on, or accessible through MLPData.com.

Copyright

All of the content provided through this website, including but not limited to any and all data, text, images, and design is the exclusive property of MLP Data LLC, and is protected under U.S. and international copyright laws. Any and all data or content provided by MLPData.com is leased to authorized users only. You are agreeing NOT to distribute, display, give or sell any data or content obtained from or as a Service of this website, in part of full, without the express written consent of MLP Data LLC. The compilation, repackaging, or dissemination of MLPData.com information or content from MLP Data LLC in any way is prohibited. Our copyrights will be strictly enforced.

Subscriber

A Subscriber is defined as one individual with a valid User ID and Password for accessing any part of MLPData.com. Subscriber agrees and confirms that a single user will log in and use the Subscriptions. Any sharing of license(s) is considered a breach of this agreement.

Each member subscription entitles one user to access the information and data provided. Access and membership is available for PERSONAL uses only. Distribution of any kind and/or display, both directly and indirectly, of any information or data acquired from or because of this site, in part or full, is a violation of US and International Copyright Laws, and the terms of this agreement. MLP Data LLC holds the right to cancel user membership to subscribers for any reason. Granting unauthorized access of the copyrighted information or this website is strictly prohibited.

Subscriber Fees

Subscriber of the Monthly Service will pay one month in advance at the beginning of Service and for subsequent one-month period until the Subscriber gives notice of Services Termination. Subscriber User ID and Password for accessing MLPData.com will expire on last day of Monthly Service, as provided by cancellation notice, and further billing will be terminated.

Subscriber of the Annual Service will be for the initial Service period of one year and will auto renew for subsequent one-year periods unless the Subscriber gives notice of Services Termination prior to the last date of Annual Service.

Subscriber User ID and Password for accessing MLPData.com will expire on last day of Annual Service.

Service of the subscription(s) will not begin until all charges have been processed.

Following the initial Service period, MLP Data LLC reserves the right to increase the Monthly or Annual Fee at any time upon 30 days notice to Subscriber, provided Subscriber shall have the right to terminate the Subscription by providing MLP Data LLC with email notification or successful processing and receipt of termination as verified from MLPData.com site's Account Profile panel. Subscriber (a) agrees to pay the Monthly or Annual Service Fee according to any applicable credit card issuer agreement, (b) expressly authorizes MLP Data LLC to automatically charge the applicable card on a monthly or annual basis during the term of this Agreement (unless otherwise agreed by the parties), (c) agrees that any fee increase made in accordance with this Section may also be charged to the same card in the same manner and (d) that Subscriber will use the subscription for their own individual usage and they will not share their login credentials with other users. Each individual user must have their own individual subscription.

Subscriber Termination

Following the initial term this Agreement shall auto-renew on a monthly basis or annual basis until otherwise terminated. Upon 30 days of email notice of termination to the other party, termination shall be effective on the last day of the month in the 30th or 365th day of the subscription occurs, either party may terminate this Agreement as to one, all, or any number of the Services referred to in the Plans & Pricing terms.

MLP Data LLC reserves the right to immediately suspend performance or terminate this Agreement without notice and without liability in the event that: (a) Subscriber fails to pay any amount due to MLP Data LLC or charges back through the applicable credit card company any amounts billed, (b) any Content that is necessary for MLP Data LLC to perform its obligations is suspended or terminated, (c) Subscriber shares login credentials with other users, and/or (d) in the event of any conduct by Subscriber which MLP Data LLC, in its sole discretion, considers to be unacceptable, or in the event of any breach by Subscriber of this Agreement. MLP Data LLC may discontinue any of our subscription Services at any time.

Export of Data from Database

When the Service (without the use of any third party product, function, module or procedure, including, without limitation, operating system procedures such as "cut and paste") provides a capability to export data from the Database to a third party spreadsheet program, a Subscriber may use such capability to export data from the Database to a spreadsheet file, and may use such exported data internally with a standard, commercially-available, third-party spreadsheet program, only if the following conditions are met: (i) any file, transmission, writing, spreadsheet, graph, report, chart or other document or material, containing such exported data or any part thereof, or derived from such exported data or any part thereof, shall be deemed Service Output under this Agreement, and use and distribution of such Service Output shall be subject to the terms of this Agreement; and (ii) an Authorized User requires use of a function of the spreadsheet program that is not available in the Service and the exported data are limited to the data necessary to use such function. Except as specifically provided in this Section 9.3 or as otherwise set forth in any Separate Agreement, no one shall have any right to export any data from the Database. For clarity, except for use within a standard, commercially-available, third-party spreadsheet program as outlined herein, in no event shall any User export data from the Database, or link to the Database, for use in a third party software program, application or database or for use in any proprietary Licensee software, application or database.

Terms

All data provided, both historical and otherwise, is licensed by MLP Data LLC and must be removed from all sources of access if this agreement shall be violated, or end voluntarily, or otherwise. All Copies of the data must bear the following copyright citation: "Copyright MLPData.com. All rights reserved." Except as set forth herein, any other use of the information contained in this site requires the prior written consent of MLP Data LLC.

CHANGED TERMS

MLP Data LLC shall have the right at any time to change or modify the terms and conditions applicable to Subscriber's use of MLPData.com, or any part thereof, or to impose new conditions, including (but not limited to) adding fees and charges for use. Such changes, modifications, additions or deletions shall be effective immediately upon notice thereof, which may be given by means including (but not limited to) posting on MLPData.com, or by electronic mail, or by any other means by which Subscriber obtains notice thereof. Any use of MLPData.com by Subscriber after such notice shall be deemed to constitute acceptance by Subscriber of such changes, modifications or additions.

Subscriber agrees to defend, indemnify and hold harmless MLP Data LLC, its affiliates and their respective directors, officers, employees and agents from and against all claims and expenses, including attorneys' fees, arising out of the use of MLPData.com by Subscriber or Subscriber's Account.

EXCEPT AS OTHERWISE EXPLICITLY PROVIDED HEREIN, THE SERVICE IS PROVIDED "AS IS" WITH ALL FAULTS AND THE ENTIRE RISK AS TO SATISFACTORY QUALITY, PERFORMANCE, ACCURACY AND EFFORT IS WITH USER. AUTHORIZED USER ACKNOWLEDGES FOR ITSELF AND ALL USERS ACCESSING THE SERVICE THROUGH IT THAT, BECAUSE OF THE NATURE OF SOFTWARE AND THE INTERNET, THE SERVICE MAY NOT BE ACCESSIBLE WHEN NEEDED, AND THAT INFORMATION TRANSMITTED OVER THE INTERNET (INCLUDING, BUT NOT LIMITED TO, DATA UPDATES, THE SERVICE OUTPUT AND THE SERVICE FORMAT) MAY BE SUBJECT TO THIRD PARTY INTERCEPTION AND MODIFICATION.
